The clock is counting down for incorporated societies to reregister under the Incorporated Societies Act 2022 before 5 April 2026 – and while that may still sound a way off, the process can take time to get right.

If a society doesn’t reregister by the deadline, it will no longer exist as an incorporated society. That means it could:

  • Lose access to its accounts and IRD number (if it has one)

  • Lose its separate legal identity, potentially exposing members to personal liability for debts or obligations (like leases or contracts)

  • No longer control its property and assets – the Registrar may direct how these are distributed

  • Be unable to enter new contracts in its name

  • Lose rights to its name, meaning another group could use it

There won’t be any extensions beyond the 5 April 2026 cut-off, so now’s the time to start.
